1. Definitions
In these Terms and Conditions:
- "coorvid", "we", "us", "our" refers to coorvid, registered in Hong Kong, with offices at 15 Science Park West Avenue, Sha Tin, New Territories, Hong Kong.
- "Service" refers to the AI consulting, development, and analytical services offered by coorvid.
- "Client", "you", "your" refers to any individual or organisation that accesses this website or engages coorvid for services.
- "Agreement" refers to these Terms and Conditions together with any engagement-specific scope document or service agreement.
- "Deliverable" refers to any output, model, dashboard, report, or API endpoint produced under an engagement.
2. Acceptance of Terms
By accessing this website or engaging coorvid for services, you confirm that you have read and agree to these Terms and Conditions. You must be at least 18 years of age and have legal authority to enter into binding agreements on behalf of yourself or your organisation. If you do not agree, please do not use this website or our services.
3. Service Description
coorvid provides applied AI services including image recognition and classification, AI-enhanced customer analytics, and exploratory Proof-of-Value engagements. Services are delivered as described in individual scope documents agreed with each client. The scope document forms part of the binding agreement for each engagement.
We reserve the right to decline to take on an engagement at our discretion, including where we do not believe we can deliver appropriate value.
4. Website Use
You may use this website for lawful purposes only. You must not use this website to:
- Transmit any unlawful, harmful, or fraudulent content
- Attempt to gain unauthorised access to any part of this website or its systems
- Scrape or extract content for commercial purposes without written permission
- Misrepresent your identity or affiliation
5. User Accounts
This website does not currently offer user account registration. If account functionality is introduced in future, additional terms will apply. Client portals or shared project tools, if provided, are subject to separate access terms communicated at the time of provisioning.
6. Client Responsibilities
Clients engaging coorvid for services agree to:
- Provide accurate and complete information relevant to the engagement
- Ensure they have the right to share any data provided to coorvid for the purposes of the engagement
- Participate in milestone reviews and provide timely feedback
- Not reverse-engineer, reproduce, or redistribute coorvid's proprietary methods or materials without written consent
- Use deliverables in accordance with any usage terms specified in the scope document
7. Intellectual Property
All intellectual property created by coorvid prior to or independently of an engagement remains the property of coorvid. Deliverables produced for a specific client engagement are transferred to the client upon full payment, except where the scope document specifies otherwise.
General methodologies, frameworks, and know-how developed by coorvid are not transferred and remain our property. Clients receive a non-exclusive, non-transferable licence to use deliverables within their own organisation.
All content on this website, including text, design, and code, is the intellectual property of coorvid and may not be reproduced without written permission.
8. Payment Terms
Fees for service engagements are set out in the relevant scope document. Unless otherwise agreed:
- Invoices are payable within 14 days of issue
- Payment is accepted in Hong Kong Dollars (HKD) by bank transfer
- A deposit may be required before work commences, as specified in the scope document
- Late payments may accrue interest at 1.5% per month
Refund terms, if applicable, are specified in the scope document for each engagement. There is no standard refund for services already delivered.
9. Service Delivery
coorvid will use reasonable care and skill in delivering services as described in each scope document. Timelines are estimates based on information available at the time of scoping. We will communicate promptly if circumstances require a change in timeline.
Changes to scope requested by the client during an engagement will be assessed and, if agreed, documented in a written change notice with revised timeline and cost implications.
10. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with an engagement. This obligation continues for two years after the engagement concludes. Client data is subject to additional protections under the data processing agreement included in each engagement.
11. Disclaimers
AI systems produce probabilistic outputs. coorvid does not guarantee specific accuracy levels beyond those agreed in writing in the scope document. All AI deliverables should be used in conjunction with appropriate human review, particularly in high-stakes applications.
This website and its content are provided "as is" without warranties of any kind, express or implied.
12. Limitation of Liability
To the extent permitted by applicable law, coorvid's total liability for any claim arising from an engagement is limited to the fees paid by the client for that specific engagement. We are not liable for indirect, consequential, or incidental losses, loss of profit, or business interruption.
Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence.
13. Indemnification
The client agrees to indemnify coorvid against claims, losses, or costs arising from the client's misuse of deliverables, provision of inaccurate data, or breach of these terms.
14. Termination
Either party may terminate an engagement by written notice if the other party materially breaches the agreement and fails to remedy that breach within 14 days of written notice. On termination, the client is responsible for fees for work completed to that point. Sections on intellectual property, confidentiality, limitation of liability, and governing law survive termination.
15. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to mediation in Hong Kong. These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region, and the parties submit to the non-exclusive jurisdiction of the Hong Kong courts.
16. Changes to Terms
We may update these Terms and Conditions from time to time. Changes will be effective on posting to this page. Continued use of this website after posting constitutes acceptance. For ongoing engagements, changes to terms will not apply retroactively without written agreement.
17. General Provisions
These terms, together with any applicable scope document, constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions continue in full force. No waiver of any right constitutes a general waiver.
